These terms govern your use of the Unfair CPA website and product. By accessing or using them, you agree to these terms. "We," "us," and "Unfair CPA" refer to the operator of this site and product.

Not a CPA firm

Unfair CPA is accounting software. It is not a CPA firm and does not provide licensed accountancy, audit, attest, tax, or legal services. Information the product surfaces — including tax citations, estimates, and reports — is for your consideration and is not professional advice or a substitute for a licensed professional. You are responsible for reviewing your books, filings, and financial statements, and for the decisions you make based on them.

Who can use the service

You must be an adult (at least 18) and use the service for business purposes. If you use it on behalf of a company, you represent that you are authorized to bind that company to these terms.

Your account and access

Access is invite-based today. You may sign in using Google or other supported methods. You are responsible for keeping your account and credentials secure, for all activity under your account, and for notifying us promptly if you believe your account has been compromised.

Acceptable use

Don't misuse the service: don't attempt to break or probe its security, reverse-engineer it, disrupt it, use it to violate the law or the rights of others, or upload data you don't have the right to provide. We may suspend access to protect the service or its users.

Your data

The financial and business data you connect remains yours. You grant us the rights needed to host and process it to provide and improve the service, as described in our Privacy Policy. You are responsible for the accuracy and legality of the data you provide.

Availability and changes

We work to keep the service available, accurate, and secure, but it is provided "as is" and "as available," without warranties of any kind, whether express or implied. We may change, suspend, or discontinue features, and we may update these terms; material changes will be reflected in the date above.

Disclaimers and limitation of liability

To the maximum extent permitted by law, Unfair CPA and its providers are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the service. To the maximum extent permitted by law, our total liability for any claim relating to the service is limited to the amounts you paid us, if any, for the service in the period preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold Unfair CPA harmless from claims, damages, and expenses arising out of your misuse of the service, your violation of these terms, or your violation of any law or the rights of a third party.

Termination

You may stop using the service at any time. We may suspend or terminate access if you violate these terms or to protect the service. On termination, you may request export or deletion of your data as described in our Privacy Policy, subject to legal retention obligations.

Governing law

These terms are governed by the laws of the United States and the state in which we are organized, without regard to conflict-of-laws principles. Any disputes will be resolved in the courts located there.
